These Terms govern your access to and use of the Beeze app and services. Please read them carefully — by creating a Beeze account you agree to be bound by them.

1. About these Terms
Beeze is a digital banking application operated by Base54 ("Base54", "Beeze", "we", "us", "our"). These Terms & Conditions (the "Terms") form a binding agreement between you and Base54 and govern your use of the Beeze mobile applications, websites, and related services (together, the "Services").
Beeze is a technology platform. Regulated activities — including the issuance of payment cards, money transmission, stablecoin issuance and redemption, and fiat on- and off-ramps — are provided by licensed third-party partners. Where a partner's own terms apply to a feature, those terms apply in addition to these Terms.
2. Eligibility
To open and use a Beeze account, you must:
- be at least 18 years old (or the age of majority in your country of residence);
- be a resident of a country where Beeze is available;
- be acting on your own behalf and not for an undisclosed third party;
- not be a person subject to sanctions or located in a sanctioned or restricted territory; and
- be able to form a legally binding contract with us.
We may decline to open an account, or limit the Services available to you, at our discretion and as required by applicable law or our partners.
3. Your account & registration
You must provide accurate, current and complete information when you register and keep it up to date. You are responsible for all activity that takes place under your account. One person may hold only one account unless we agree otherwise.
4. Identity verification (KYC)
Before you can use certain features, and on an ongoing basis, we and our partners are required by law to verify your identity ("Know Your Customer" or "KYC") and to carry out customer due diligence. You agree to provide the information and documents we request — which may include your legal name, date of birth, address, a government identity document, a selfie or liveness check, and source-of-funds information.
We may refuse, restrict, suspend or close your account if you do not complete verification, if verification fails, or if we are unable to satisfy our regulatory obligations.
5. The Beeze services
The Services may include, depending on your country and verification level:
- holding balances denominated in supported currencies (e.g. USD, GBP, EUR) backed by regulated stablecoins;
- topping up from mobile money and local bank channels through our partners;
- sending and receiving value by Beeze handle or account details;
- converting between supported currencies; and
- spending with a virtual or physical Beeze card.
Features are released gradually and may not all be available in your market. We may add, change, suspend or remove features at any time.
6. Stablecoin balances & conversions
Balances you hold in the app are represented by USD Coin (USDC) or other supported stablecoins held with regulated custody and issuance partners. A stablecoin is a digital asset designed to maintain a stable value relative to a reference currency, but it is not the same as a bank deposit and is not legal tender.
Beeze is not the issuer of any stablecoin. The value, redemption and reserve backing of a stablecoin are the responsibility of its issuer. While stablecoins are designed to hold a 1:1 value, we do not guarantee that any stablecoin will maintain its peg, and you may be exposed to issuer, custody, smart-contract and market risk.
7. Top-ups, transfers & withdrawals
You can fund your account and move value through the channels we make available. Transactions may be subject to limits, holds, processing times and confirmation by payment networks or the blockchain. We are not responsible for delays caused by third parties, network congestion or your funding source.
Blockchain transactions are generally irreversible. You are responsible for ensuring that any recipient handle, address or account details are correct. We may be unable to recover funds sent in error or to the wrong recipient.
8. The Beeze card
Any Beeze card is issued by a licensed card issuer or program partner and is subject to that partner's cardholder agreement, which you accept when you request a card. Card availability, spending limits, supported regions and network acceptance are determined by the issuer and applicable card scheme rules.
9. Fees & exchange rates
Fees applicable to your use of the Services — including transfer fees, conversion spreads, card fees and any third-party charges — are disclosed in the app before you confirm a transaction or in a separate fee schedule. Currency conversions are carried out at the rate displayed at the time of the transaction, which may include a margin. We may change our fees on reasonable notice.
10. Acceptable use
You agree not to use the Services to:
- break any law, regulation or sanctions regime;
- launder money, finance terrorism, or facilitate fraud or any other financial crime;
- fund gambling, illegal drugs, weapons, or other prohibited activities listed in the app;
- infringe the rights of others or transact on behalf of an undisclosed third party; or
- interfere with, reverse-engineer, or attempt to gain unauthorised access to the Services.
11. Compliance, AML & sanctions
We operate an anti-money-laundering and counter-terrorist-financing (AML/CFT) program consistent with applicable law and Financial Action Task Force (FATF) standards. We monitor transactions, and we may request information, place holds, freeze balances, report activity to regulators or authorities, and refuse or reverse transactions where we are required to do so or where we reasonably suspect financial crime or sanctions exposure. We are not liable to you for action taken to meet these obligations and may be prohibited by law from telling you the reason.
12. Security & your responsibilities
You are responsible for keeping your device, passcode, recovery phrase, and login credentials secure, and for any transaction you authorise. Never share your passcode, one-time codes or recovery phrase with anyone — Beeze will never ask you for them. Tell us immediately if you suspect your account has been compromised or your device lost or stolen.
13. Risk disclosures
Digital assets and cross-border payments carry risk. You acknowledge that: balances are not bank deposits and may not be covered by a deposit-protection or compensation scheme; the value of holdings can be affected by issuer, market, custody and technology risk; blockchain transactions can be irreversible; and the regulatory treatment of stablecoins is evolving and may change in ways that affect the Services. Only transact with funds you can afford to put at risk.
14. Third-party & partner services
The Services rely on third parties including card issuers, custodians, stablecoin issuers, on/off-ramp providers and identity-verification vendors. Your use of those services may be governed by their own terms and privacy notices. We are not responsible for the acts or omissions of third parties beyond our reasonable control.
15. Suspension & closure
We may suspend, restrict or close your account — and withhold or return balances — where required by law or our partners, where we suspect misuse or financial crime, where verification cannot be completed, or where you breach these Terms. You may close your account at any time, subject to settlement of pending transactions and our regulatory record-keeping obligations.
16. Liability
Nothing in these Terms excludes liability that cannot lawfully be excluded. Subject to that, the Services are provided "as is", and to the maximum extent permitted by law we are not liable for indirect or consequential loss, loss of profits, or losses arising from third parties, market movements, or events outside our reasonable control. Our total liability to you is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
17. Complaints & disputes
If something goes wrong, contact us first at support@beeze.app and we will try to resolve it. These Terms are governed by the laws of the jurisdiction stated in your in-app agreement or, if none is stated, the jurisdiction in which Base54 is established. You may also have rights under the consumer- and financial-protection laws of your country of residence, which are not affected by this clause.
18. Changes to these Terms
We may update these Terms from time to time. We will give you reasonable notice of material changes, for example through the app or by email. Continuing to use the Services after changes take effect means you accept the updated Terms.
19. General
If any provision is found to be unenforceable, the rest remain in force. Our failure to enforce a right is not a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours to an affiliate or successor. These Terms, together with any partner agreements and the Privacy Policy, are the entire agreement between us.
